Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Billstead. By creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Billstead.
1. About Us
The Service is operated by Marco Bacer, a sole trader based in Ireland and trading under the registered business name Billstead ("Billstead", "we", "us", "our"). The business name is registered with the Irish Companies Registration Office under Business Name Registration No. 782119 pursuant to the Registration of Business Names Act 1963. Our principal place of business is in Dublin 18, D18 C1XC, Ireland; the full registered address is on the public CRO register at core.cro.ie and is available on request. 2. The Service
Billstead is a software-as-a-service application for recording property bills and expenses, sharing costs with co-owners, housemates, or tenants, and keeping a running pairwise balance between members. The Pro plan adds document upload, AI-assisted bill parsing, a dedicated inbound email address, CSV export, and higher storage limits.
We continuously improve the Service. We may add, modify, or retire features on reasonable notice where the change is material and adverse to paying users; minor changes and bug fixes may be made at any time.
3. Eligibility and Accounts
- You must be at least 18 years old and capable of entering into a binding contract.
- You must provide accurate registration details and keep them up to date.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must notify us without undue delay at [email protected] if you suspect unauthorised access to your account.
4. Your Content and Licence
You retain all rights in the data, documents, and other content you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display Your Content solely to operate and provide the Service to you and to the other members of the properties you share it with.
You are responsible for Your Content and for having the rights necessary to upload it. You warrant that Your Content does not infringe any third-party rights and does not contain unlawful, defamatory, or otherwise objectionable material.
5. Data Protection Roles
We act as the data controller for personal data we collect to provide the Service, as described in our Privacy Policy. To the extent you upload personal data about third parties (for example, the email addresses and contribution details of other household members), we process that data on your behalf and you are the controller of it. By accepting these Terms you instruct us to process that data as set out in our Privacy Policy and you warrant that you have a lawful basis to share it with us.
6. Acceptable Use
You agree not to, and not to permit anyone else to:
- use the Service for any unlawful, fraudulent, or misleading purpose;
- upload malware, viruses, or any code designed to disrupt or compromise the Service;
- attempt to access any account, data, or system you are not authorised to access;
- probe, scan, or test the vulnerability of the Service except under an authorised disclosure programme we run from time to time;
- copy, modify, translate, reverse engineer, decompile, or create derivative works of the Service, except to the extent mandatory law permits;
- resell, sublicense, or provide the Service to third parties as a service bureau;
- use automated means to generate excessive load, scrape data, or circumvent rate limits;
- process personal data of third parties without a lawful basis;
- send unsolicited messages via invitations or inbound email features.
We may throttle, suspend, or terminate access for activity that violates this section or threatens the stability or security of the Service.
7. AI-Assisted Parsing
When you upload a document or forward an email on the Pro plan, we send its content to a third-party AI provider to extract structured fields. Extracted values are created as pending-review transactions and are never committed to your records without your explicit confirmation. AI output can be inaccurate or incomplete. You are responsible for reviewing and confirming each parsed transaction before relying on it.
8. Subscriptions, Billing, and Refunds
Billstead offers a Free plan and a Pro plan. Current Pro pricing and features are shown at checkout and in Settings. Payment is handled by Stripe; card details are never seen or stored by us.
- Pro subscriptions renew automatically at the end of each billing period until cancelled.
- You can cancel at any time from Settings. Access to Pro features continues until the end of the paid period. We do not refund partial periods.
- If a free trial is offered, it ends automatically without charge unless you convert to a paid plan.
- We may change Pro pricing for future billing periods on at least 30 days' notice by email; your continued use after the change takes effect constitutes acceptance.
- We may apply VAT or other taxes where required by law.
Right of withdrawal (EU consumers)
Where EU consumer law applies, you have a 14-day right of withdrawal from the initial purchase of a Pro subscription under the Consumer Rights Directive (2011/83/EU) and the Irish Consumer Rights Act 2022. By starting to use Pro features during the 14-day period you expressly request that performance of the service begins during that period and acknowledge that, in line with Article 16(a) of the Directive, you lose the right of withdrawal once the Pro service has been fully performed. If you exercise your right of withdrawal before the service has been fully performed, you will pay an amount proportionate to the Pro functionality provided up to the point you tell us you are withdrawing, in line with Article 14(3) of the Directive; we will refund the remainder within 14 days. If you withdraw before using any Pro features we will refund the full subscription fee within 14 days. To withdraw, email [email protected] or cancel in Settings.
9. Plan Limits and Fair Use
Each plan has limits — for example, on storage, document parsing volume, and inbound email addresses. We display current limits in Settings and may adjust them with reasonable notice to reflect actual costs and to prevent abuse.
10. Intellectual Property
The Service, including its code, design, branding, documentation, and the "Billstead" name and logo, is owned by Billstead or its licensors and is protected by copyright, trade mark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal or internal business use. All rights not expressly granted are reserved.
11. Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction. You waive any moral rights in that feedback to the extent permitted by law.
12. Service Availability
We aim to keep the Service available 24/7, but we do not guarantee uninterrupted access. We may schedule maintenance, which we try to carry out during low-traffic windows. We are not liable for downtime caused by our hosting providers, network operators, or force-majeure events beyond our reasonable control.
Notifications and reminders. We send invitation emails, balance digests, due-date reminders, and other transactional messages on a best-effort basis. Delivery depends on third-party email providers and on the recipient's inbox provider and spam filtering, which are outside our control. You should not rely on notifications as the sole reminder for any bill, payment, or deadline. The in-app dashboard is the authoritative source of your Billstead data, and to the maximum extent permitted by law we are not liable for any loss arising from a notification being delayed, mis-classified as spam, or not delivered.
13. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties not expressly set out in these Terms, including the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, and freedom from error. We do not warrant that the Service will meet your requirements, be free from interruption, or that AI-parsed output will be accurate.
Billstead is a record-keeping tool. It does not constitute financial, tax, legal, or accounting advice. You remain responsible for your own records and filings.
Your records. While we apply the security measures and follow the backup practices described in our Privacy Policy, you remain responsible for retaining your own records. We provide a data export feature in Settings; you are encouraged to export your data regularly, and in particular before cancelling your subscription or deleting your account. To the maximum extent permitted by law, our liability for any loss, corruption, or unavailability of your data is limited as set out in Section 14.
Consumer rights. Nothing in these Terms limits any statutory right you have as a consumer under Irish or EU law, including rights under the Consumer Rights Act 2022 and the Sale of Goods and Supply of Services Acts.
14. Limitation of Liability
Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud, fraudulent misrepresentation, or wilful misconduct;
- your statutory rights as a data subject under the GDPR, including the right to compensation under Article 82;
- any other liability that cannot be limited or excluded under applicable law, including your statutory rights as a consumer.
Subject to the above, and to the maximum extent permitted by law:
- we are not liable for indirect, special, incidental, consequential, or punitive losses, or for loss of profits, revenue, goodwill, business opportunity, or data;
- our total aggregate liability to you arising out of or in connection with the Service is capped at the greater of (i) the Subscription Fees you paid us in the 12 months preceding the event giving rise to the claim, or (ii) €100.
15. Indemnity
You agree to indemnify and hold us harmless against third-party claims, losses, and expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) Your Content, or (c) your violation of applicable law or the rights of a third party. This does not apply to the extent such claims result from our own breach, negligence, or wilful misconduct, or where it is inconsistent with your rights as an EU consumer.
16. Suspension and Termination
You may terminate your account at any time from Settings. We may suspend or terminate your account if:
- you materially breach these Terms and do not cure the breach within a reasonable period after notice (where cure is possible);
- you engage in fraud, abuse, or illegal activity;
- required by law, regulation, or a lawful order;
- continuing to provide the Service to you creates a security, legal, or financial risk;
- for a Pro plan, your payment fails and is not resolved within a reasonable period.
On termination, your right to access the Service ends. Sections that by their nature should survive termination (including Sections 4, 10, 11, 13, 14, 15, 19, and 20) will do so. Your data is handled in line with the retention schedule in our Privacy Policy.
17. Changes to These Terms
We may update these Terms from time to time. For material changes — including changes to pricing, plan scope, or your rights and obligations — we will notify registered users by email at least 30 days before the change takes effect and will update the "Last updated" date at the top of this page. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the updated Terms, you can terminate your account before they take effect.
18. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the successor is bound by terms no less protective of you.
19. Governing Law and Disputes
These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that if you are a consumer resident in another EU member state, you may bring proceedings, and we must bring proceedings against you, in the courts of the EU member state in which you reside, and you benefit from any mandatory consumer protection provisions of the law of that state.
Under Regulation (EU) 524/2013, EU consumers may use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr. We prefer to resolve disputes directly — please contact us first at [email protected].
20. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Billstead regarding the Service.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
- No waiver. Our failure to enforce any provision is not a waiver of that provision.
- No agency. Nothing in these Terms creates any agency, partnership, or employment relationship between you and us.
